Public Offer Agreement
Terms of Service provided by historicalbureau.com, Oleg Verbliudov the Genealogist, Historical Bureau LLC
Effective date:
1. General Provisions and Acceptance
1.1. This document constitutes an official public offer (the “Agreement”) of HISTORICAL BUREAU LLC (brand name "Oleg Verbliudov the Genealogist" presented on the website historicalbureau.com), a limited liability company registered in the State of Wyoming, USA (the “Company”), addressed to any natural or legal person (the “Customer”) willing to order the Services described herein.
1.2. The Customer accepts this Agreement in full, without reservations or exceptions, by performing any of the following actions: (a) submitting a request form on the Company's website or contacting Company via chanels indicated in the Section 15.; or (b) making payment of invoice issued by the Company.
1.3. Acceptance of this Agreement creates a binding contract between the Company and the Customer on the terms set out below.
1.4. The Company may amend this Agreement at any time by publishing an updated version on the website. Orders placed before an amendment remain governed by the version in force at the time of acceptance.
2. Definitions
- Services
- Professional genealogical research, Expert Assessment (Preliminary Research), tracing and retrieval of legal documents, tracing of archival records supporting citizenship-by-descent applications, tracing of any archival records or information performed in competent archival and civil registry institutions of Ukraine and Eastern European historical territories.
- Communication with Customer
- Any communication between the Customer and the Company via communication chanels specified in the Section 15.
- Expert Assessment (Preliminary Research)
- Any research or tracing activities performed by the Company to identify specific fact, document or information, specified in Communication with Customer.
- Research Fee
- The fee for a genealogical or archival research.
- Legal Documents
- Certified vital records (birth, marriage, divorce, death certificates and extracts) and any other official documents issued by civil registry offices, archives, and other competent authorities accompanied with applicable Deliverables.
- Deliverables
- Results of the Services provided in digital form: scanned copies of documents (or records), preliminary report, research report, translations, charts, or Legal Documents as applicable to the ordered Service.
- Proof of Performance
- Any documented evidence that the Company has commenced or performed work under the order, including but not limited to: requests filed with archives, civil registry offices, or other authorities; correspondence with such institutions or third-parties; payment receipts for state duties or third-party fees; working notes, source inventories, or draft reports; and records of on-site archival visits.
3. Subject of the Agreement
3.1. The Company undertakes to render, and the Customer undertakes to accept and pay for the Services agreed in Communication with Customer.
3.2. The Services concern historical and archival matters. The Company provides research, document retrieval, and translation services; the Company provides no legal advice or legal representation.
4. Expert Assessment / Preliminary Research
4.1. Expert Assessment / Preliminary Research involves any analyzis, research, tracing or any other activities performed by the Company, including (but not limiting by) verifying the provided facts, checking the preservation of documents, identifying the history of the territory, eliminating and clarifying possible risks, esteblishing subjects and scopes of the Services.
4.2. Upon completion of the Expert Assessment, the Customer receives a preliminary report stating what can be found, what cannot be found and why, the possible depth of research, which documents are preserved and which are lost, and insights relevant to the order.
4.3. Costs and timeframe of the Expert Assessment / Preliminary Research are specified in Communication with Customer.
5. Order Procedure
5.1. The Customer submits a request form on the website or contacts the Company via communication chanels specified in the Section 15, providing all available input information and/or documents. Complete and accurate input information directly affects the scope, timeframes, and results of the Services.
6. Payments
6.1. Costs of the Services are stated in the Communication with Customer.
6.2. Payment methods: bank transfer (including neobanks such as Wise and Revolut), PayPal, or cryptocurrencies. Bank charges and currency-conversion fees of the Customer's payment provider are borne by the Customer.
6.3. Performance of each Services begins after full payment of the corresponding invoice and receipt of the input information required for that Services.
7. Deliverables and Delivery
7.1. Deliverables are provided in digital form in the Communication with Customer. Legal Documents in physical form are dispatched by post or courier service (agreed in the Communication with Customer) to the address specified by the Customer.
7.2. The Customer accepts the Deliverables upon receipt. Claims concerning the completeness of Deliverables are accepted within 14 days of delivery and are resolved by the Company in good faith.
8. Return and Refund Policy
8.1. Expert Assessment
The Expert Assessment fee is refundable in full where the Customer cancels the order before the Company has commenced the assessment. Once the assessment has commenced, the fee is non‑refundable: the value of this Service consists in the professional analysis itself, which is performed regardless of whether its conclusions are favorable to the Customer's goals.
8.2. Research Fee
The Research Fee is refundable in full where the Customer cancels before the Company has commenced any research activities. Once the research activities have commenced — including research planning, source-inventory work, filing of archival requests, or on-site archival work — the Research Fee is non‑refundable.
8.3. Legal Documents
Fees for Legal Documents are refundable in full where the Company has performed no work under the order and can produce no Proof of Performance. Where the Company produces Proof of Performance (Section 2), the fees are non‑refundable. State duties, apostille fees, courier charges, and other amounts paid to third parties are non‑refundable once paid out, irrespective of the stage of the order.
8.4. Risk Disclosure
The Company details specific risks regarding document preservation, availability or content in Communication with Client. The Customer explicitly accepts these identified risks. All payments remain strictly non-refundable regardless of the final outcome, the absence of records, or the specific factual content found within the retrieved documents if such risks specified in Communication with Client.
8.5. Refund Procedure
Refund requests are submitted to info@historicalbureau.com. Approved refunds are issued to the original payment method within 90 days of approval. Payment-provider fees withheld by third parties may be deducted from the refunded amount.
9. Right of Withdrawal for EU/UK Consumers
9.1. Where the Customer is a consumer residing in the European Union or the United Kingdom, the Customer has a statutory right to withdraw from this distance contract within 14 days of its conclusion without giving any reason.
9.2. By placing an order, the Customer expressly requests that the Company begin performance of the Services before the expiry of the 14‑day withdrawal period, and acknowledges that the right of withdrawal is lost once the ordered Service (including the Expert Assessment as a distinct Service) has been fully performed.
9.3. Where the Customer withdraws after performance has begun but before full performance, the Customer pays the Company an amount proportionate to the Services performed up to the moment of withdrawal, including third-party fees already paid out.
9.4. To exercise the right of withdrawal, the Customer sends an unequivocal statement to info@historicalbureau.com.
10. Warranties and Limitation of Liability
10.1. The Company warrants that the Services are performed with professional skill and diligence consistent with established genealogical research and archival intelligence practice.
10.2. The Company makes no warranty as to specific findings, the existence or preservation of any record, the depth of a traceable lineage, or the acceptance of any document by any authority, court, or immigration service.
10.3. The Company's aggregate liability under this Agreement is limited to the amount actually paid by the Customer for the specific order giving rise to the claim. The Company bears no liability for indirect, incidental, or consequential losses.
10.4. Nothing in this Agreement limits liability that is incapable of limitation under applicable mandatory law.
11. Force Majeure
11.1. The Company is released from liability for delay or non-performance caused by circumstances beyond its reasonable control, including war and hostilities, missile and drone attacks, air-raid alerts, martial-law measures, closure or physical inaccessibility of archives and civil registry offices, destruction or evacuation of archival collections, power and communication outages, epidemics, and acts of public authorities.
11.2. Timeframes are suspended for the duration of such circumstances. Where force majeure prevents commencement of any work under an order, the Customer may cancel and receive a refund under Section 8.
12. Confidentiality and Personal Data
12.1. All Customer data, input information, and Deliverables are treated as confidential.
12.2. The Company processes personal data in in full compliance with the GDPR and solely for the purpose of performing the Services, corresponding with archives and authorities, invoicing, and complying with legal obligations. 12.3. The Customer may request access to, rectification of, or deletion of their personal data by writing to info@historicalbureau.com, subject to record-keeping obligations of the Company.
13. Intellectual Property
13.1. Upon full payment, the Customer receives the Deliverables for personal, family, and legal use, including submission to authorities. The Company retains its research methodology, working materials, and the right to reference research for professional purposes.
13.2. Copies of archival documents remain subject to the rules of the issuing archives and applicable law.
14. Governing Law and Dispute Resolution
14.1. This Agreement is governed by the laws of the State of Wyoming, USA, excluding its conflict-of-laws rules.
14.2. Where the Customer is a consumer, this choice of law leaves intact the protection afforded by mandatory provisions of the law of the country of the Customer's habitual residence.
14.3. The parties resolve disputes through good-faith negotiation. Where negotiation fails within 120 days, disputes are submitted to the competent court.
